These Terms of Use ("Terms") govern your access to and use of Clearly ("the Service"), operated by Enviroware Ltd, trading as Clearly ("Clearly", "we", "us", or "our"), a company registered in New Zealand. By creating an account, starting a trial, buying a plan or otherwise using the Service, you agree to these Terms. If you use the Service for a business or on behalf of an organisation, you agree to them for that business or organisation too.
1. The Service
Clearly connects to the marketing platforms you choose (for example Google Analytics, Search Console, Google Ads, Business Profile, Meta Ads, LinkedIn Ads, Reddit Ads, Google Sheets and BigQuery) and shows their data in live reports you can share. "Ask Why" answers questions about a report, using AI to explain the report's own figures. Features, the platforms we connect to and what each plan includes may change as the Service develops. If we remove something a paid plan includes, we will tell you first.
2. Accounts
You must be at least 18, or have the permission of a parent or guardian, to use the Service. You can sign in with Google or with an email address and password. Keep your sign-in details to yourself; you are responsible for what happens under your account.
When you connect a platform, you confirm that you are allowed to give us access to the accounts, properties and documents you choose, and that our reading them for your reports does not break any agreement you have with someone else.
3. Plans, trial and billing
Plans
Lite is free. Pro and Team are paid subscriptions, billed monthly or annually in advance, at the prices on our pricing page. Agency, Scale and Enterprise plans are billed by arrangement, on the terms we agree with you in writing. Each plan's limits (reports, sources, users and Ask Why questions) are the ones on the pricing page when you buy or renew.
Free trial
New accounts get a 30-day free trial of the paid features, with no card needed. When the trial ends, the account moves to Lite on its own and nothing is charged. Your reports stay, though features outside Lite stop working until you choose a plan. One trial per business.
Payment and renewal
Payments are taken by our payment provider, Stripe. By buying a plan you authorise us to charge your payment method at the start of each billing period. Your subscription renews automatically for the same period (monthly or annual) until you cancel it. Prices are in US dollars and do not include taxes; where the law requires us to charge tax, it is added.
If a payment fails, we will try again and let you know. Your plan keeps working for a short grace period; if payment still has not been made, the account moves to Lite.
Changing or cancelling
You can upgrade, change or cancel your plan at any time from your Account page. A cancellation takes effect at the end of the period you have paid for: you keep the plan until then, it does not renew, and the account then moves to Lite. Upgrading takes effect straight away.
Refunds
Payments are not refundable, and we do not refund part of a period when you cancel or downgrade, except where the law requires it or where we choose to. If you think you have been charged in error, contact us and we will put it right.
Price changes
We may change our prices. A new price applies from your next renewal after we have given you at least 30 days' notice by email, and you can cancel before it applies.
Fair use
Ask Why questions are limited per day and per month by plan, as shown on the pricing page, and may be paused briefly when the Service is under heavy load. We may also limit use that puts the Service or other customers at risk.
4. Acceptable use
You agree not to:
- Use the Service in a way that breaks the terms or policies of a platform you connect (for example Google's API Services User Data Policy, or Meta's Platform Terms).
- Connect, or share a report on, data you are not allowed to access or share.
- Reverse engineer, decompile or try to extract the Service's source code.
- Scrape, crawl or systematically copy the Service.
- Get around rate limits, plan limits, access controls or security measures, or share an account to avoid buying seats.
- Use the Service for anything unlawful.
5. Your data and your reports
Your data stays yours. We do not claim any ownership of the data in the platforms you connect, of your reports, or of the questions you ask. You give us permission to use them only to run the Service for you, as described in our Privacy Policy.
A share link lets anyone who has it see that report with live data, without signing in. You choose who you send it to, and you can turn a link off at any time.
You can disconnect a platform, delete a report or delete your account at any time from within the Service.
6. Ask Why
Ask Why's answers are written by AI from the figures in your report, and we check every figure in an answer against those numbers. Answers can still be incomplete or wrong, and they are not professional, financial or legal advice. Check anything important before you act on it or pass it on.
7. Intellectual property
The Service's software, design and content (other than your data) belong to Clearly. You may not copy, reproduce or create derivative works from any part of the Service without our written permission.
8. Privacy
Our Privacy Policy explains what we collect and why, and forms part of these Terms.
9. Platform data
Clearly's use and transfer of information received from Google APIs to any other app adheres to the Google API Services User Data Policy, including the Limited Use requirements. We use data from the platforms you connect only to provide the Service's features to you. We do not sell it, use it for advertising, or use it to train AI models.
10. The Service is provided as is
We work to keep the Service accurate and available, but it is provided "as is" and "as available". To the extent the law allows, we make no promise that it will be uninterrupted or error-free, or that data returned by the platforms you connect is complete or accurate. Report figures depend on what those platforms return.
If you use the Service for the purposes of a business, the Consumer Guarantees Act 1993 does not apply, and you agree it is fair and reasonable that this is so.
11. Limitation of liability
To the extent the law allows, we are not liable for any indirect, incidental, special or consequential loss, or for loss of profit, revenue, data or goodwill, arising from your use of, or inability to use, the Service.
Our total liability for any claim arising from these Terms or the Service is limited to the amount you paid us in the 12 months before the claim, or NZD $100 if that is greater.
12. Suspension and ending
You can stop using the Service and delete your account at any time. We may suspend or close an account that breaks these Terms or puts the Service or other customers at risk; where we can, we will tell you first and give you a chance to fix it. If we close the Service itself, we will give you reasonable notice and refund any period you have paid for and cannot use.
13. Changes to these Terms
We may update these Terms. We will tell you by email or in the Service about any change that materially affects you, at least 30 days before it applies to a paid plan. The "Last updated" date shows the current version. If you keep using the Service after a change applies, you accept the updated Terms.
14. Governing law
These Terms are governed by the laws of New Zealand, and the New Zealand courts have exclusive jurisdiction over any dispute.
